cPanel costs quite a bit to license so I doubt you will find free, ad-free hosting with cPanel.
Also, as SJW said, 1&1 is excellent, I’m a happy customer for 6 months. They have nearly instant activation, PHP, MySQL, and the only ads are on the default page not found responses, which can be removed. Their control panel is a proprietary one, however I believe it will do nearly anything you need. It’s not free, but the beginner package is only $3 per month (billed as $18 every six months). If it absolutely must be free I’d either ask friends/co-workers or, if bandwidth and transfer speeds aren’t a big deal (not alot of graphics, etc.), then host from your own PC with Apache2Triad (http://apache2triad.net/) and a free subdomain service like DynDNS (http://www.dyndns.com/). This is what I used to do, but be sure you know what you are doing with it first as any server software is touchy and has security risks associated with running it.
